Ted Armstrong was senior vice president-finance and administration and chief financial officer at Angelica Corporation of St. Louis, Missouri from 1986 to 2004. In his retirement, he is currently engaged in board and audit committee work with public and private companies. Armstrong qualifies as a “financial expert” under SEC rules due to his knowledge about SEC regulation of public companies (including reporting requirements); the Sarbanes-Oxley Act of 2002; NYSE and NASDAQ listing requirements; interaction with audit committees and internal and external auditing services. Angelica Corporation is a $400 million, publicly-held NYSE company providing rental and laundry services principally to healthcare institutions through a system of 35 laundries located across the U.S. Until sale of a division in July 2004, Angelica also operated a nationwide chain of 228 retail stores with a fully-integrated catalog/e-commerce operation selling uniforms and shoes to nurses and other healthcare professionals. Angelica also previously manufactured and marketed a full line of uniforms for both healthcare and hospitality businesses through a division which was sold in 2002. Before joining Angelica, Ted was with Mississippi River Transmission Corporation and affiliated companies (1964-1985) and was President and CEO (1983-1985). Mississippi River Transmission (MRT) was a $700 million interstate natural gas pipeline company merged into Union Pacific Corporation in 1982 and acquired by Midcon Corp. in 1985. MRT provided natural gas service principally to the greater St. Louis area, including a significant amount of direct, unregulated sales to local industrial customers. Armstrong received his BA (economics) from Yale University in 1961 and his L.L.B. from Duke University School of Law in 1964. Armstrong is a current member of the St. Louis County Boundary Commission and a former alderman of the City of Frontenac, Missouri. He has served as a member of the CID board of managers since 1986 and was president from 2001 to 2002. He is also a member of the following boards of directors: · Cabela’s, Inc. (NYSE: CAB; $2.0b direct marketer and retailer of sporting goods) (member, audit, compensation, nominating and corporate governance committees) · World’s Foremost Bank (limited purpose credit card bank subsidiary of Cabela’s; $1.4b outstanding receivables) (chairman of audit committee) · UMB Financial Corp. (NASDAQ:UMBF; $8b full-service bank) (chairman of audit committee) · Custom Cuts (privately-owned haircutting salon business) · Boys and Girls Town of Missouri (past president, former chairman of finance committee) · Saint Louis Club (past president) · Bellerive Country Club (treasurer) |
